Welcome to Night and Day Logistics (“Company,” “we,” “us,” or “our”). By accessing our website, creating an account, or engaging us for logistics, courier, or delivery services (collectively, the “Services”), you (“Customer,” “Shipper,” or “you”) agree to be bound by these Terms and Conditions.

Night and Day Logistics arranges and provides transportation and delivery services. We reserve the right to select the route, method, and personnel (including independent contractors) used to fulfill the delivery.

To ensure successful delivery, the Customer agrees to:

• Accurate Information: Provide complete and accurate details regarding the shipment, including pick-up/delivery addresses, contact names, phone numbers, and package weight/dimensions.
• Proper Packaging: Ensure all items are securely packed and sealed to withstand normal handling during transportation. Night and Day Logistics is not liable for damage caused by improper or insufficient packaging.
• Readiness: Ensure shipments are ready for pick-up at the scheduled time. Delays caused by the shipper may incur "Waiting Time" fees.

The Customer warrants that they will not request the transport of restricted items. Unless explicitly agreed upon in a separate written contract, we do not transport:

• Illegal drugs or contraband.
• Hazardous materials (Hazmat) not previously declared and approved.
• Cash, bullion, or bearer bonds.
• Live animals.
• Firearms or explosives.

We reserve the right to open and inspect any shipment for safety or security purposes. We reserve the right to refuse any shipment that we deem unsafe or unlawful.

• Rates: Services are charged based on the rates quoted at the time of booking or according to your specific rate sheet/contract.
• Surcharges: Rates are subject to standard surcharges, including but not limited to fuel surcharges, tolls, after-hours fees, and waiting time fees (if a driver is detained at pick-up or delivery beyond a standard grace period).
• Payment Terms: Unless credit terms have been extended, payment is due upon receipt of invoice. Late payments may be subject to interest charges.
• Weight/Dimension Audits: If the actual weight or dimensions of a shipment exceed the details provided by the Customer, we reserve the right to adjust the invoice to reflect the actual size/weight.

• Limitation of Liability: Unless a higher value is declared and additional insurance is purchased prior to shipment, the liability of Night and Day Logistics for loss or damage to any shipment is limited to $100.00 USD per shipment.
• Indirect Damages: In no event shall Night and Day Logistics be liable for consequential, incidental, or special damages (including lost profits or business interruption), even if we were advised of the possibility of such damages.
• Claims Process: All claims for damage or loss must be submitted in writing within 15 days of the delivery date (or scheduled delivery date in the case of loss). Failure to report within this timeframe may result in a denial of the claim.
• Force Majeure: We are not liable for delays, loss, or damage caused by events beyond our reasonable control, including but not limited to "Acts of God," severe weather, traffic conditions, strikes, war, or government actions.

• Authority to Leave: If authorized by the Customer, drivers may leave packages at a specified location without a signature. We are not liable for packages once delivered in accordance with these instructions.
• Redelivery: If the recipient is unavailable and a signature is required, the package may be returned to our facility. Additional charges may apply for redelivery attempts.

You agree to indemnify, defend, and hold harmless Night and Day Logistics, its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses arising from:

• Your violation of these Terms.
• Your shipment of prohibited or illegal items.
• Any damage caused by your shipment to other property or persons due to improper packaging or undeclared hazards.

By using our Services, you acknowledge that we may contact you via phone, email, or SMS regarding your shipments. For details on how we handle your data, please refer to our Privacy Policy. For details on text messaging, please refer to our SMS Terms of Use.

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Maryland.

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website. Your continued use of our Services constitutes acceptance of the modified terms.
